1. Commercial Overview & Acceptance

Welcome to The Angel Watch Company. This document outlines the legal framework, commercial terms, and operational guidelines governing the acquisition, distribution, and commercial usage of Angel Watch™ 4G LTE GPS smartwatches and related wearable safety devices. These terms apply to all global buyers, wholesale partners, enterprise procurement representatives, and direct consumers.

By engaging in trade, placing purchase orders, or accessing our commercial portals, partners agree to adhere strictly to the conditions set forth herein. All manufacturing, software integration, and regional distribution operate under ISO 9001 quality management guidelines and comply with international electronics export standards.

2. B2B Procurement, OEM/ODM & Wholesale Orders

As a global OEM/ODM manufacturer and exporter of child safety and senior health monitoring wearables, we maintain precise operational standards for commercial accounts:

• Order Quotations & Validity: All wholesale quotations are issued in USD/GBP and remain valid for 30 calendar days from issuance unless specified otherwise in written commercial contracts.
• Minimum Order Quantities (MOQ): Standard bulk distribution orders and custom OEM/ODM packaging requirements are subject to negotiated MOQs agreed upon during contract execution.
• Cellular Network Compatibility: Importers and distributors are responsible for verifying local 4G LTE band compatibility (FDD-LTE / TDD-LTE) within their designated sales territories prior to mass production.
• Customs & Tariffs: International shipments are executed under standard Incoterms (FOB, CIF, or DDP as agreed). The buyer remains responsible for regional import tariffs, VAT, and localized customs clearance procedures.

3. Technical Specifications & Quality Assurance

We mandate comprehensive factory quality assurance testing for every batch of 4G smartwatches produced:

Hardware Standards

Hardware components—including real-time GPS sensors, optical biometric sensors (heart rate, SpO2, blood pressure), and HD cameras—are tested under automated burn-in cycles. Enclosures engineered with IP67 or IP68 ingress protection are tested under pressurized liquid environments.

Software & Data Security Governance

The Angel Watch™ companion application operates without invasive third-party ad networks, internet browsing tools, or uncontrolled social media platforms. Data transmission between smartwatches, cloud servers, and mobile devices utilizes AES 256-bit encrypted protocols, ensuring compliance with global child privacy regulations (including COPPA and GDPR framework alignment).

4. Warranty Terms & RMA Protocol

We back our hardware reliability with a structured 12-Month Limited Manufacturer Warranty covering core PCB circuitry, battery performance, touch screens, and internal sensor modules against material defects:

• RMA Claims: Commercial buyers must report hardware non-conformities within 14 business days of shipment receipt, providing batch numbers, diagnostic logs, and physical inspection reports.
• Exclusions: Warranty coverage does not apply to damages resulting from unauthorized device modification, hardware tampering, extreme physical impact, or usage exceeding certified IP rating thresholds.
• Technical Support: Tier-2 technical support and firmware update logs are maintained by our specialized engineering team to assist enterprise partners in sustaining optimal system uptime.

5. Intellectual Property & Brand Authorization

All trademarks, patented chassis designs, proprietary software user interfaces, technical documentation, and marketing assets affiliated with Angel Watch™ remain the exclusive intellectual property of The Angel Watch Company. Commercial partners are granted limited, non-exclusive rights to market authorized products within agreed geographical boundaries upon formal contract signing.

6. Limitation of Liability

Angel Watch™ wearable solutions are engineered to support family connectivity, child location awareness, and senior health tracking. However, our devices are not designed or certified as life-saving medical apparatus or primary emergency dispatch equipment. The Angel Watch Company disclaims liability for localized cellular carrier network outages, GPS signal degradation due to atmospheric conditions, or improper end-user operation.
